Creating Contract Drafts

Learn how to create new contract drafts from scratch or from templates in DealView.

DealView's drafting module lets you create new contracts using templates or from scratch. Drafts include AI-assisted variable filling and a review workflow.

Accessing Drafts

  1. Click Drafts in the sidebar
  2. View your existing drafts or create new ones
  3. Filter by status: Draft, In Review, Approved, or Finalized

Creating a New Draft

From a Template

The recommended approach for consistent contracts:

  1. Click New Draft button
  2. Select From Template
  3. Browse or search available templates
  4. Choose your template
  5. Click Create Draft

The template's content and variables are copied to your new draft.

Template Selection

Templates come from two sources: skeleton templates (pre-built structures) and your custom templates. Use skeleton templates for common contract types.

From Scratch

For unique contracts:

  1. Click New Draft button
  2. Select Blank Draft
  3. Enter basic information:
    • Draft name
    • Contract type
    • Counterparty (optional)
    • Deal value (optional)
  4. Click Create Draft

Draft Information

Each draft includes:

NameDescriptive title for the draft
Contract TypeNDA, MSA, SOW, etc.
CounterpartyThe other party to the contract
Deal ValueEstimated contract value
StatusCurrent stage in the workflow
VariablesFillable fields in the draft

Draft Statuses

Drafts progress through these stages:

DraftInitial editing stage
AI ProcessingAI is filling variables
In ReviewSubmitted for review
ApprovedReview approved
FinalizedConverted to executed contract
ArchivedNo longer active

Editing Draft Content

From the draft detail page:

  1. Edit text directly in the editor
  2. Fill in variable placeholders ()
  3. Use AI assistance to suggest values
  4. Save changes frequently
Unsaved Changes

Changes are not auto-saved. Click Save before navigating away to preserve your work.

Using Variables

Variables are placeholders that get filled with specific values:

  • Format: {{variable_name}}
  • Examples: {{party_name}}, {{effective_date}}, {{contract_value}}
  • Fill manually or use AI assistance

The draft page shows a variable completion tracker (e.g., "12/15 variables filled").

Next Steps

After creating a draft:

  1. Fill variables with AI assistance
  2. Submit for review
  3. Finalize the contract
